Company’s web site is limited to the dissemination of general information pertaining to its advisory services, together with access to additional investment-related information, publications, and links.

Accordingly, the publication of Company’s web site on the Internet should not be construed by any consumer and/or prospective client as Company’s solicitation to effect, or attempt to effect transactions in securities, or the rendering of personalized investment advice for compensation, over the Internet. Any subsequent, direct communication by Company with a prospective client shall be conducted by a representative that is either registered or qualifies for an exemption or exclusion from registration in the state where the prospective client resides. For information pertaining to the registration status of Company, please contact the SEC or the state securities regulators for those states in which Company maintains a notice filing. A copy of Company’s current written disclosure statement discussing Company’s business operations, services, and fees is available from Company upon written request. Company does not make any representations or warranties as to the accuracy, timeliness, suitability, completeness, or relevance of any information prepared by any unaffiliated third party, whether linked to Company web site or incorporated herein, and takes no responsibility therefore. All such information is provided solely for convenience purposes only and all users thereof should be guided accordingly.

Please remember that different types of investments involve varying degrees of risk, and there can be no assurance that the future performance of any specific investment or investment strategy (including those undertaken or recommended by Company), will be profitable or equal any historical performance level(s).

Certain portions of Company’s web site (i.e. newsletters, articles, commentaries, etc.) may contain a discussion of, and/or provide access to, Company (and those of other investment and non-investment professionals) positions and/or recommendations as of a specific prior date. Due to various factors, including changing market conditions, such discussion may no longer be reflective of current position(s) and/or recommendation(s). Moreover, no client or prospective client should assume that any such discussion serves as the receipt of, or a substitute for, personalized advice from Company, or from any other investment professional. Company is neither an attorney nor an accountant, and no portion of the web site content should be interpreted as legal, accounting or tax advice.

Rankings and/or recognition by unaffiliated rating services and/or publications should not be construed by a client or prospective client as a guarantee that he/she will experience a certain level of results if Company is engaged, or continues to be engaged, to provide investment advisory services, nor should it be construed as a current or past endorsement of Company by any of its clients. Rankings published by magazines, and others, generally base their selections exclusively on information prepared and/or submitted by the recognized adviser.

To the extent that any client or prospective client utilizes any economic calculator or similar interactive device contained within or linked to Company’s web site, the client and/or prospective client acknowledges and understands that the information resulting from the use of any such calculator/device, is not, and should not be construed, in any manner whatsoever, as the receipt of, or a substitute for, personalized individual advice from Company, or from any other investment professional.

Each client and prospective client agrees, as a condition precedent to his/her/its access to Company’s web site, to release and hold harmless Company, its officers, directors, owners, employees and agents from any and all adverse consequences resulting from any of his/her/its actions and/or omissions which are independent of his/her/its receipt of personalized individual advice from Company.

Research by Potomac

Potomac Fund Management Inc. (Potomac) is producing its data and analysis on an “as is” basis and without warranty of any kind, either expressed or implied. The information is based on data believed to be reliable, but it is not guaranteed.   POTOMAC DISCLAIMS ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, SUITABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE.

Potomac’s reports reflect opinions of our staff as of the date of each report, and they will not necessarily be updated as views or information change.  All opinions expressed therein are subject to change without notice, and you should always obtain current information and perform due diligence before trading. Potomac and its shareholders, directors, officers and/or employees and agents, may have long or short positions in the securities discussed in Potomac’s publications and may purchase or sell such securities without notice.

Potomac uses and has historically used various methods to evaluate investments which may, at times, produce contradictory recommendations with respect to the same securities. When evaluating the results of prior Potomac recommendations or Potomac performance rankings, one should also consider that Potomac may modify the methods it uses to evaluate investment opportunities from time to time, that model results do not impute or show the compounded adverse effect of transaction costs or management fees or reflect actual investment results, that other less successful recommendations made by Potomac are not included with these model performance reports, that some model results do not reflect actual historical recommendations, and that investment models are necessarily constructed with the benefit of hindsight.

Unless specifically noted on a chart, report, or other device, all performance measures are purely hypothetical, and are the results of back-tested methodologies using data and analysis over time periods that pre-dated the creation of the analysis and do not reflect tax consequences, execution, commissions, and other trading costs. For these and for many other reasons, the performance of Potomac’s past recommendations and model results are not a guarantee of future results.

Using any graph, chart, formula, model, or other device to assist in deciding which securities to trade or when to trade them presents many difficulties and their effectiveness has significant limitations, including that prior patterns may not repeat themselves continuously or on any particular occasion.  In addition, market participants using such devices can impact the market in a way that changes the effectiveness of such devices. Potomac believes no individual graph, chart, formula, model, or other device should be used as the sole basis for any investment decision and suggests that all market participants consider differing viewpoints and use a weight of the evidence approach that fits their investment needs. Any piece of content or commentary may or may not be representative of the Potomac’s current views and may not align with any of the other content or commentary that is provided.

Performance measures on any chart or report are not intended to represent the performance of an investment account or portfolio, as some formulas or models may have superior or inferior results over differing time periods based upon macro-economic or investment market regimes.  Potomac generally provides a full history of a formula or model’s hypothetical performance, which often reflects an “all in” investment of the represented market or security during “buy”, “bullish”, or similar recommendations.

This approach is not indicative of the intended usage of the recommendation in a client’s portfolio, and for this reason Potomac does not typically display returns as would be commonly stated when reporting portfolio performance. Clients seeking the usage of any Potomac content in a simulated portfolio back-test should contact Potomac to discuss testing that Potomac can perform using the client’s specific risk tolerances, fees, and other constraints. Potomac’s reports are not intended to be the primary basis for investment decisions and are not designed to meet the particular investment needs of any investor.

The reports do not address the suitability of any particular investment for any particular investor.  The reports do not address the tax consequences of securities, investments, or strategies, and investors should consult their legal and tax advisors before making investment decisions.  Investors should seek professional advice before making investment decisions.  The reports are not an offer or the solicitation of an offer to buy or to sell a security.

Important Definitions

S&P 500 Index TR: The S&P 500 TR index is a basket of 500 stocks that are considered to be widely held. The S&P 500 Index TR is weighted by market value, and its performance is thought to be representative of the stock market as a whole. The S&P 500 Index TR is one of the most commonly used benchmarks for the overall U.S. stock market. S&P 500 TR is a total return index adjusted for distributions (i.e., assuming that all distributions are reinvested).

Beta: Beta measures the relationship between an investment and a major market index (the S&P 500 Index TR is used in this report). A beta of 1.0 means that a 1% rise in the S&P 500 Index TR could lead to a 1% rise in the investment, while a beta of -0.5 means that a 1% rise in the S&P 500 Index TR could lead to a 0.5% drop in the investment. The beta for an investment is determined by using regression analysis to measure the relationship between the returns of the investment and the returns of the S&P 500 Index TR.

Drawdown: A Drawdown is any losing period during an investment record. It is defined as the percent retrenchment from an equity peak to an equity valley. A Drawdown is in effect from the time an equity retrenchment begins until a new equity high is reached.

Leverage: The use of various financial instruments or borrowed capital to increase the potential return of an investment. If an investor uses leverage to make an investment and the investment moves against the investor, his or her loss is much greater than it would’ve been if the investment had not been leveraged – leverage magnifies both gains and losses.

Bear or Inverse Investments: Are constructed by using various derivatives for the purpose of profiting from a decline in the value of an underlying index. Investing in these is similar to holding various short positions or using a combination of advanced investment strategies to profit from falling prices.
